The rest of AI coding startup Windsurf will be acquired through recognition from competitors, the companies announced.
Google announced Friday that it had hired Windsurf CEO and other key executives to license its technology and left Windsurf's future as a questionable independent company. This also meant that previous deals with Openai were turned off.
Now, interim CEO of Windsurf, Jeff Wang, says the acquisition of Cognition will be a “perfect fit” that offers engineers an endless opportunity to “fast-size” productivity. The terms of the cognitive agreement announced Monday have not been revealed.
“The last 72 hours were the wildest roller coaster ride of my career,” Wang posted on LinkedIn.
Cognition did not respond immediately to a request for comment, so Windsurf declined to comment.
Backed by the Khosla Ventures and Founders Fund, Cognition raised a $175 million round last year just six months after its launch. The recognition was last valued at $4 billion, Bloomberg reported, raising hundreds of millions more this year.
Windsurf investors include General Catalyst and Kleiner Perkins. According to Pitchbook, it has raised over $200 million.
According to Bloomberg, Openai had previously planned to buy Windsurf for $3 billion. Business Insider previously reported, Business Insider held talks over Windsurf CEO opposition to sharing intellectual property with Microsoft.
Questions about Google Transactions
In a note to staff that Cognition co-founder and CEO Scott Wu posted on Monday, he announced that all Windsurf employees will benefit financially from the acquisition, and there will be no time to wait for their shares to vest.
He wrote that all Windsurf employees are “treated with respect” and “good care.”
Over the weekend, questions were swirling around about how Google deals would affect employees, particularly those who have not yet been certified for fairness.
For example, Amjad Masad, CEO of rival Vibe Coding Platform, urged Windsurf employees to join the startup, saying the replica has passed many acquisitions and has been “built for a long period of time.”

Cognition said the acquisition will recharge Devin, an AI software developer product.
The King of Windsurf enjoys humanity and blocked access to some of the latest AI models after news was announced that human rival Openai was in discussions to buy Windsurf.
“And of course, we are once again a friend of humanity,” Wang said in the announcement.
